1. Who we are
These Terms of Service ("Terms") govern your use of the ATENEA website and platform (the "Service"), operated by ATENEA [legal entity and address to be completed] ("ATENEA", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to accept these Terms for it.
2. What the Service does
ATENEA estimates the risk of moisture and temperature damage to cargo in transit (including condensation, thermal stress, mould, corrosion and related mechanisms) using physical models, historical climate data, sea-route calculations and the information you provide. It also lets you keep shipment records with a public verification link and compare predictions with data-logger readings.
The Service provides estimates, not guarantees. Results depend on models, historical averages and your inputs, and quantities shown for protective measures are estimates pending calibration. The Service does not replace a cargo survey, packaging specification, insurance cover or professional judgement, and you remain responsible for decisions about your shipments.
3. Accounts
- You must provide accurate information and keep your password confidential. You are responsible for activity under your account.
- Notify us promptly of any unauthorised use.
- You must be at least 18 years old and use the Service for business purposes.
4. Your data
You keep all rights to the shipment data, files, photos and logger readings you upload ("Customer Data"). You grant us a limited licence to host, process and display Customer Data only to provide and improve the Service, as described in the Privacy Policy. You confirm you have the right to upload it.
Analyses and records are reachable through hard-to-guess links. Anyone you share a link with, including a public verification link, can view that item. Sealed records cannot be edited; later changes create new versions.
We may use aggregated, de-identified information (for example, statistics on routes and risk levels) to calibrate and improve the models. It will not identify you, your organisation or your shipments.
5. Plans, trials and payment
- The Free plan is available at no cost with the limits shown on the Pricing page.
- Paid plans may include a 14-day free trial. At the end of a trial the account returns to the Free plan unless a paid plan is activated.
- Paid plans are billed in advance, monthly or annually, in US dollars, excluding taxes. Online billing is not yet available; until it is, plans are activated by our team.
- You may cancel at any time; access continues until the end of the paid period. Fees already paid are non-refundable except where required by law.
- We may change prices with at least 30 days' notice before your next billing period.
- Usage limits (such as analyses per month) reset each billing period. "Unlimited" plans are subject to fair use under the Acceptable Use Policy.
6. Acceptable use
You agree to follow the Acceptable Use Policy. We may suspend access that breaches it or puts the Service or other users at risk.
7. Our intellectual property
The Service, its software, models, design and content (excluding Customer Data and third-party data under their own licences) belong to ATENEA. You receive a non-exclusive, non-transferable right to use the Service during your subscription. Third-party data sources are credited in the Service and used under their licences.
8. Availability and changes
We aim to keep the Service available and secure but do not guarantee uninterrupted operation. We may update, add or remove features; we will give reasonable notice of material changes that reduce paid functionality.
9. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, including fitness for a particular purpose, accuracy of estimates or that cargo will arrive undamaged.
10. Limitation of liability
To the extent permitted by law, ATENEA is not liable for indirect, incidental, special or consequential damages, loss of profits, or cargo loss or damage, and our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.
11. Termination
You may close your account at any time. We may suspend or terminate accounts that breach these Terms. After termination we delete or anonymise Customer Data within a reasonable period, except records we must keep by law. Public verification links to sealed records may stop working once a record is deleted.
12. Governing law
These Terms are governed by the laws of [jurisdiction to be completed]. Disputes will be resolved in the courts of [venue to be completed], unless mandatory law provides otherwise.
